Notre opportunité : Dans le cadre de notre développement, nous recherchons actuellement un Avocat expérimenté en Droit des affaires / Corporate M&A (F/H) justifiant d’au moins 5/6 ans d’expérience au sein de notre bureau de Strasbourg. Vos principales responsabilités : Vous intervenez auprès de clients variés (groupes internationaux, ETI, PME, sociétés cotées, sociétés à forte croissance, entreprises familiales), présents dans l'ensemble des secteurs de l'économie. Vous participez à titre principal à des opérations d’acquisitions et de cessions en intervenant sur toutes les problématiques associées (de la lettre d’intention jusqu’à l’intégration post-closing) dans des contextes domestiques et internationaux. Vous apportez également votre appui en matière de transformations, de restructurations de groupes de sociétés ainsi que dans leur gestion courante et dans le cadre d’opérations exceptionnelles (augmentation de capital, levées de fonds, fusions…). Vous êtes en mesure de gérer et coordonner les principaux aspects de ces projets et opérations (assistance à la structuration et à la définition de la stratégie de négociation de l’opération, gestion et suivi du process de l’opération, négociation et rédaction des actes, coordination des équipes EY et des équipes client), sous la supervision d’un associé. Vous travaillez sur ces sujets en liaison étroite avec nos équipes de Droit Fiscal et de Droit Social et, selon les opérations, les équipes des autres métiers EY (e.g. Lead M&A, Corporate Finance, Consulting). Vous êtes également amené à superviser et former de jeunes collaborateurs de l’équipe. Vos compétences pour réussir : Afin de vous intégrer au sein de nos équipes et d’y évoluer avec succès, vous détenez les compétences clés suivantes : Titulaire du CAPA, vous avez une formation Master 2 en Droit des Affaires / Droit des Sociétés ou DJCE, et idéalement une formation complémentaire de type grande école de commerce/L.L.M ; Expérience préalable d’au moins 5/6 ans au sein du département "Droit des Affaires/Corporate/M&A" d'un Cabinet d'Avocats et/ou de la Direction Juridique d'une entreprise vous ayant permis de développer une très bonne connaissance des process qui régissent ce type d’opérations et une bonne maîtrise technique dans la structuration juridique et la négociation de celles-ci ; Maîtrise parfaite de l’anglais, tant à l'oral qu'à l'écrit - une expérience professionnelle à l'étranger serait un atout.
