Job Description

Work Arrangement

This role is categorized as hybrid. This means the successful candidate is expected to report to GM Global Technical Center in Warren, Michigan three times per week, at minimum.

The Role

General Motors is seeking an experienced corporate attorney to join GM’s Legal Staff. The attorney will be responsible for providing legal advice and counsel to GM’s Corporate Development and Global M&A department (“CDGMA”) and other internal business units. Reporting to the Lead Counsel, Corporate Development, this attorney will assist with the negotiations of complex transactions and will provide legal advice and business counsel to GM on a global scale.

As a member of GM’s Legal Staff, the attorney would be expected to deliver high performance legal services with high integrity.  GM Legal Staff’s objectives are to deliver timely, best-in-class business advisory and legal services in close collaboration with business partners to accomplish their objectives while simultaneously protecting GM’s high standards of legal, ethical, and financial integrity. 

What You’ll Do (Responsibilities)

  • Strong skills in drafting, negotiating, interpreting, and advising on a broad range of corporate transactions and related issues, including mergers, acquisitions, divestitures, joint ventures, and minority investments.

  • Experience negotiating complex global commercial agreements, including supply, distribution, manufacturing, and co-development agreements.

  • Experience coordinating corporate and M&A due diligence efforts and working with subject-matter experts.

  • Manage the use of external legal counsel to effectively leverage their expertise.

  • Develop a thorough understanding of, and familiarity with, GM’s businesses, products, future goals, and the regulatory schemes under which GM operates. 

  • Significant knowledge and expertise in cutting edge corporate and M&A law concepts and practices

  • Contribute to the development and implementation of corporate and commercial legal strategies and policies for the CDGMA and legal leadership teams

Additional Job Description

Your Skills & Abilities (Required Qualifications)

  • 8- 12 years of experience Mergers & Acquisitions (M&A) experience in relevant law firm and/or in-house legal experience in sophisticated transactional work handling complex corporate matters.

  • Law degree from an accredited law school with excellent academics.

  • Active license to practice law in Michigan or at least one other US jurisdiction, and (if not admitted in Michigan) the ability to qualify for in-house practice in Michigan.

  • Significant professional experience in highly collaborative teams, partnering effectively with colleagues, and taking initiative to deliver business results.

  • Demonstrated ability to manage multiple large-scale projects simultaneously effectively.

  • Strong oral and written communication skills, as well as the ability to think critically and succinctly present the most appropriate course of action

  • Well experienced in building and maintaining relationships, gain credibility, and partner effectively with legal staff colleagues and others up and down a matrixed organization using a collegial, team-oriented approach.

  • Excellent judgment, solid character, and personal commitment to integrity and quality

  • Financial knowledge and acumen, including budgeting

  • Willingness and ability to travel internationally if needed 

  • A self-starter personality, a quick learner with strong internal motivation, possesses initiative, integrity, and resilience.  

A company vehicle will be provided for this role with successful completion of a Motor Vehicle Report review.
 

Compensation: The expected base compensation for this role is: $165,000 - $215,000. Actual base compensation within the identified range will vary based on factors relevant to the position.

Bonus Potential: An incentive pay program offers payouts based on company performance, job level, and individual performance.
